Terms and conditions for using BizPilot's AI business platform, consulting services, and SMS messaging.

These Terms of Service ("Terms") govern your use of the BizPilot platform, services, and website operated by RNA Executive Solutions LLC, d/b/a BizPilot and MyBizPilot ("BizPilot," "MyBizPilot," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
Legal Entity Notice: RNA Executive Solutions LLC is the legal entity that owns and operates the BizPilot / MyBizPilot platform, SMS messaging services, and AI receptionist services. RNA Executive Solutions LLC was previously filed under the name "Heartbeat Consultants LLC" and was renamed; all prior agreements, subscriptions, and obligations remain in force under the renamed entity.
BizPilot provides two categories of services:
BizPilot accounts are provisioned through our consultative onboarding process. There is no self-service signup. Each account is associated with a single business entity ("Tenant") and includes:
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@mybizpilot.com of any unauthorized use.
You agree to provide accurate and complete information during onboarding and to keep your account information current.
BizPilot provides an AI-powered phone receptionist that answers calls, books appointments, and responds to inquiries on behalf of your business. You acknowledge that:
The platform includes AI chat capabilities powered by OpenAI and Anthropic. Customer queries and business context are processed by these providers solely for generating responses.
Your data is not used to train third-party AI models. Our agreements with AI processors prohibit the use of API data for model training.
BizPilot SMS Appointment Assistant
All SMS messages under the BizPilot SMS Appointment Assistant program are sent by RNA Executive Solutions LLC (d/b/a BizPilot and MyBizPilot) on the MyBizPilot platform on behalf of the specific participating end business (salon, spa, clinic, or wellness studio) with which the end user is engaging. End users are clearly notified of both the platform operator and the specific end business at the point of opt-in, per our SMS Consent page.
RNA Executive Solutions LLC, through the BizPilot / MyBizPilot platform, provides AI-powered transactional SMS messaging for appointment booking, confirmations, reminders, and post-visit review requests at participating service businesses including salons, spas, dental offices, clinics, and wellness studios. Messages are transactional in nature and are not marketing or promotional.
Message frequency varies based on interaction:
End users will never receive more than 5 messages per week unless they initiate additional conversations.
Message and data rates may apply. Standard SMS charges from the mobile carrier apply. BizPilot does not charge end users for messages.
This service is available on all major U.S. carriers including AT&T, Verizon, T-Mobile, and most other carriers.
End users can opt in by:
End users may opt out at any time by replying STOP to any message. After texting STOP, they will receive one final confirmation message and no further messages unless they opt in again.
For assistance, text HELP to the business number or reply HELP to any message.
As a business subscriber, you are responsible for ensuring your use of BizPilot's SMS features complies with the Telephone Consumer Protection Act (TCPA) and all applicable regulations. This includes obtaining proper consent from your customers before sending messages.
Subscription fees and consulting service fees are as agreed upon during your onboarding process and documented in your Statement of Work (SOW). BizPilot reserves the right to adjust pricing with thirty (30) days' written notice.
Subscription fees are billed monthly via Stripe. Consulting fees are billed per the payment schedule in your SOW. All fees are in US dollars.
Invoices are due within fifteen (15) days of issuance (Net-15). Late payments accrue interest at 1.5% per month. BizPilot may suspend services after thirty (30) days of non-payment with written notice.
All fees are exclusive of applicable taxes. You are responsible for any sales, use, or similar taxes.
Consulting service fees for completed deliverables are non-refundable. Monthly subscription fees are non-refundable for the current billing period but will not renew upon cancellation.
You retain full ownership of all business data, customer records, brand assets, and content you provide to BizPilot. We process your data solely as a data processor on your behalf.
BizPilot retains ownership of the platform, source code, AI models, algorithms, templates, methodologies, and frameworks. Nothing in these Terms transfers platform intellectual property to you.
Consulting deliverables (competitive analysis, brand strategy, SEO reports) are licensed to you for your internal business use upon full payment. BizPilot retains the right to use aggregated, anonymized insights and generic methodologies.
Website content and design created specifically for your business are owned by you upon full payment, excluding any BizPilot platform components or third-party assets.
You agree to use BizPilot services only for lawful business purposes. You shall not:
BizPilot targets 99.5% uptime for platform services but does not guarantee uninterrupted availability. The service may be temporarily unavailable due to maintenance, technical issues, third-party provider outages, or force majeure events.
Scheduled maintenance will be communicated in advance when possible. Emergency maintenance may occur without prior notice.
BizPilot operates a multi-tenant architecture. Your data is logically isolated from other tenants through Row-Level Security (RLS) policies enforced at the database level. No cross-tenant data access is possible through the application.
Consulting services are governed by a separate Statement of Work (SOW) that defines scope, deliverables, timeline, and fees.
Changes to consulting scope require a written Change Order agreed to by both parties.
You agree to provide timely access to business information, brand assets, and DNS/domain credentials as needed for service delivery. Delays caused by failure to provide required information may extend project timelines.
BIZPILOT'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AGGREGATE FEES PAID BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL BIZPILOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF THE CAUSE OF ACTION.
BizPilot is not responsible for:
You agree to indemnify and hold harmless BizPilot and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your violation of these Terms; (b) your misuse of the platform; (c) your violation of any third-party rights; or (d) content you provide through the platform.
Either party may terminate with thirty (30) days' written notice. Upon termination, monthly subscription fees cease at the end of the current billing period.
Either party may terminate immediately if the other party materially breaches these Terms and fails to cure within fifteen (15) days of written notice.
Upon termination, you may request export of all your data. BizPilot will provide data in a standard, machine-readable format within ten (10) business days. Active data is deleted within 30 days of written request; backups are purged within 90 days.
Termination does not relieve you of the obligation to pay for services already rendered. Sections 6, 11, 12, and 15 survive termination.
Your privacy is important to us. Our collection, use, and protection of information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions.
Any dispute arising under these Terms involving claims of $50,000 or less shall be resolved by binding arbitration in New York, NY, in accordance with the rules of the American Arbitration Association.
Notwithstanding the arbitration clause, either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. Material changes will be communicated via email to account holders. Continued use of the platform after changes constitutes acceptance of the updated Terms.
